Terms of Service

1. Introduction

These Terms of Service (“Terms”) govern your access to and use of the Tapref platform (“Service”) operated at app.tapref.com. By creating an account or using the Service, you agree to be bound by these Terms.

If you are using the Service on behalf of a company, you represent that you have authority to bind that entity to these Terms.

2. Service Description

Tapref provides:

  • For Developers: An affiliate management platform to create programs, track referrals, manage affiliates, and automate commission payouts for mobile app subscriptions.
  • For Affiliates: Tools to generate referral links, track performance, and receive commission payouts via Stripe Connect.

3. Account Registration

  • You must provide accurate and complete information when creating an account.
  • You are responsible for maintaining the security of your account credentials.
  • You must be at least 18 years old (or the age of majority in your jurisdiction).
  • One person or entity may not maintain multiple accounts without our prior consent.
  • You must not create an account if you are located in a jurisdiction subject to UK, EU, or US sanctions (including but not limited to Russia, North Korea, Iran, Cuba, Syria).

4. Developer Terms

4.1 API Usage

  • API keys are confidential. You must not share or expose them publicly.
  • You are responsible for all activity under your API key.
  • We may rate-limit or suspend API access to protect platform stability.

4.2 Affiliate Programs

  • You are responsible for defining fair and accurate commission structures.
  • Commission terms communicated to affiliates are binding once an affiliate joins your program.
  • You may modify commission rates prospectively, but changes do not apply retroactively to earned commissions.

4.3 Data Responsibilities

  • You must ensure that subscription event data sent to our API is accurate and lawfully collected.
  • You are the data controller for your end-users' data. Tapref processes this data on your behalf as a data processor.

5. Affiliate Terms

The Affiliate Agreement sets out the full terms governing affiliate participation. By joining any program, you agree to the Affiliate Agreement in addition to these Terms.

6. Payment Terms

6.1 Platform Fee

Tapref charges a 2% platform fee on gross commission amounts. This fee is deducted before the net commission is paid to the affiliate.

6.2 Commission Lifecycle

  1. Pending — Commission created, in hold period (default 30 days).
  2. Approved — Hold period passed, commission validated.
  3. Payable — Affiliate's approved total reaches minimum payout threshold ($50).
  4. Paid — Commission transferred via Stripe Connect.

6.3 Minimum Payout

The minimum payout threshold is $50 USD (or equivalent). Commissions below this threshold accumulate until the minimum is reached.

6.4 Refunds & Reversals

If a subscriber obtains a refund, any pending, approved, or payable commissions associated with that subscription will be reversed. Commissions already paid may be clawed back from future payouts.

6.5 Currency

Commissions are tracked in the currency of the original transaction. Stripe may apply currency conversion at the time of transfer based on the affiliate's Stripe Connect account settings.

6.6 Stripe

Tapref uses Stripe as its payment processor. By using the Service to receive payments, you agree to be bound by Stripe's Connected Account Agreement, which may be modified by Stripe from time to time. Tapref is not a payment processor and does not hold funds directly.

7. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Submit false, misleading, or fraudulent data
  • Attempt to circumvent fraud detection, rate limiting, or security measures
  • Reverse-engineer, decompile, or attempt to extract the source code of the Service
  • Interfere with the Service's infrastructure or other users' access
  • Scrape, crawl, or use automated tools to access the Service without permission
  • Impersonate another person or entity

8. Intellectual Property

All rights, title, and interest in the Service (including software, design, logos, and documentation) belong to Tapref. You retain ownership of your data and content.

You grant us a limited licence to use your data as necessary to provide the Service.

9. Data & Privacy

Our Privacy Policy describes how we collect, use, and protect personal data. By using the Service, you acknowledge that you have read and understood our Privacy Policy.

10. Limitation of Liability

To the maximum extent permitted by law:

  • The Service is provided “as is” without warranties of any kind, whether express or implied.
  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
  • Our total aggregate liability shall not exceed the fees paid by you in the 12 months preceding the claim.
  • Nothing in these Terms excludes liability for fraud, death, or personal injury caused by negligence, or any other liability that cannot be excluded by law.

11. Indemnification

You agree to indemnify and hold harmless Tapref from any claims, damages, losses, and expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

12. Termination

  • You may terminate your account at any time by contacting us.
  • We may suspend or terminate your access if you breach these Terms, engage in fraud, or if required by law.
  • Upon termination, any pending commissions that have not yet reached the payable threshold will be forfeited after 90 days.
  • Financial records will be retained for 6 years as required by applicable tax regulations.

13. Governing Law & Disputes

These Terms are governed by the laws of the jurisdiction in which Tapref's operating entity is incorporated, as notified to you from time to time.

Before initiating any formal proceedings, you agree to attempt to resolve disputes through good-faith negotiation for a period of at least 30 days. If negotiation fails, disputes shall be resolved by binding arbitration under the rules of the London Court of International Arbitration (LCIA), with the seat of arbitration in London, United Kingdom, conducted in English. The arbitrator's award shall be final and enforceable in any court of competent jurisdiction.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes at least 30 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
